Terms of Service

These terms apply to your use of ironpassdigital.com and to any lead-delivery or advertising services we provide. Using the site or accepting a lead from us means you accept these terms.

1. What we are, and what we are not

IronPassDigital is a marketing and lead-generation business. We are not a licensed contractor. We do not perform, quote, supervise, warrant or take responsibility for HVAC, plumbing, gas or electrical work. We do not book jobs, answer your phone, or make dispatch decisions. Any work arranged between a homeowner and a contractor is a contract between those two parties alone.

2. Lead services

• A "lead" is a homeowner enquiry captured and screened through our websites and messaging, delivered to you by text and email.
• Screened means we obtained answers to our qualifying questions from the person who submitted the enquiry. It is not a promise that the person will answer your call, accept your quote, buy anything, or that any detail they gave us is accurate.
• We do not guarantee any number of leads, jobs, revenue or return. Any figures we discuss are estimates and not commitments.
• Free trial leads are provided at no charge and with no obligation on either side. We may end a free trial at any time.
• Leads are billed as a flat monthly fee for the territory set out in writing between us, payable monthly in advance and cancellable on 30 days notice. We do not charge per lead and we do not guarantee a number of leads, a lead quality standard, or any booked jobs. Territory exclusivity applies only to the areas set out in that agreement.
• Credits for a bad lead: tell us within 5 business days, with the reason, and if it is clearly out of area, an obvious duplicate, or not a genuine service enquiry, we will credit it. Leads that simply did not close are not credited.

3. Managed advertising services

• Fees are the flat monthly amount on your plan, plus a one-time setup fee where applicable. Advertising spend is separate and is billed by the advertising platform to your own payment method.
• Your ad account, landing pages, tracking number and customer data remain yours. On termination we hand over access; you are responsible for maintaining anything you take over.
• Timelines are estimates. Go-live commonly takes two to three weeks and depends on carrier text-messaging registration and advertising platform review, neither of which we control.
• You are responsible for the accuracy of claims, licences, pricing and promotions you ask us to advertise, and for holding valid trade licences and insurance.
• Platforms may reject ads or suspend accounts under their own rules. We will work to resolve it, but we are not liable for platform decisions.

4. Billing and cancellation

Monthly fees are billed in advance and are non-refundable once the month has begun. Services are month to month. Either party may cancel with 30 days' written notice by email. We may suspend services on accounts more than 14 days overdue. Founding-client discounts apply for the stated months only and require the case-study and review permission described on the pricing page.

5. Your obligations

You will hold current Alberta trade licences and liability insurance, contact leads promptly, deal fairly and lawfully with homeowners we introduce, comply with CASL and privacy law in your own follow-up, and not resell or redistribute leads we provide.

6. Confidentiality and data

Each party will keep the other's non-public business information confidential. Personal information is handled as set out in our Privacy Policy. You are the party responsible for the personal information of leads once we deliver them to you.

7. Intellectual property

Our websites, lead systems, campaign structures, message flows and templates remain our property. Where we build assets for you under a managed-ads plan, you receive the assets and accounts specific to your business; our underlying systems and templates are licensed to you for use during the engagement only.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of these terms is limited to the fees you paid us in the three months before the claim, and we are not liable for indirect, incidental or consequential loss, lost profits, or lost business. Nothing in these terms limits liability that cannot lawfully be limited.

9. Indemnity

You will indemnify us against claims arising from the work you perform, the claims you ask us to advertise, and your handling of homeowner information after delivery.

10. Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada. The courts of Alberta have exclusive jurisdiction.

11. Changes

We may update these terms and will post the revised date above. Changes affecting an active paid engagement take effect on your next billing month.
